Loadout Affiliate Program Agreement

This Loadout Affiliate Program Agreement (the "Agreement") supplements the Aident Terms of Service and is between you and the Aident entity identified there. By activating an affiliate account, you agree to this Agreement. If this Agreement conflicts with the Terms of Service, this Agreement controls only for the Affiliate Program.
1. Eligibility and enrollment
You must be at least 18 years old, have authority to enter this Agreement, maintain an Aident account in good standing, and provide accurate identity, payment, and tax information when requested. Aident may approve, reject, suspend, or terminate participation to protect customers, the program, or applicable law. Internal Aident accounts are not eligible.
2. Referral links and attribution
Aident provides a unique referral link or code. A referral is attributed under Aident's recorded attribution rules, including supported web, setup-link, and manual-code channels. Attribution is locked to one affiliate, cannot be reassigned after it is recorded, and expires 12 months after attribution for commission purposes. Clicks or signups do not guarantee commission.
Self-referrals, referrals between accounts you control, fabricated accounts, cookie stuffing, forced clicks, misleading redirects, and attempts to interfere with attribution are prohibited.
3. Commission
Aident pays 20% of eligible settled Loadout Pro and Team subscription revenue received from an attributed customer during the 12-month commission window. Eligible revenue excludes taxes, discounts, account credits, refunds, disputes, chargebacks, unpaid amounts, Pay-as-you-go, Credit Boost, legacy Basic, Playbook plans, and revenue from other products.
Commission is calculated from Aident's billing and affiliate ledgers. Future program changes apply only to referrals attributed after the stated effective date unless applicable law requires otherwise.
4. Holds, reserves, and payouts
Positive commission is held for 30 days. The first payout is held for at least 60 days. Ten percent of otherwise-payable commission remains in reserve until the underlying customer charge is 120 days old. Aident normally reviews payouts monthly and may defer payment until the payable balance reaches $50.
Payment depends on completion of requested payout, tax, identity, and sanctions-screening requirements. You are responsible for taxes arising from payments to you and for fees charged by your payment provider.
5. Refunds, disputes, and negative balances
Refunds, disputes, chargebacks, billing corrections, fraud, and ineligible transactions reverse the related commission. Reversals first reduce held or reserved amounts and may create a negative balance carried against future commission. Aident may withhold or offset payments while investigating an account or transaction.
6. Required disclosures and truthful promotion
Every promotion must clearly and conspicuously disclose your financial relationship with Aident close to the endorsement or referral link. A clear example is: "I may earn a commission if you subscribe through this link." The disclosure must be understandable in the language and format of the promotion.
Promotions must reflect your honest experience and must not make false, unsubstantiated, or misleading claims about Aident, Loadout, pricing, security, expected results, or commission. You are responsible for complying with advertising, endorsement, privacy, anti-spam, and consumer-protection laws that apply to your promotions.
7. Promotion restrictions
You may not send unsolicited messages, impersonate Aident, claim to be an employee or agent, offer an unauthorized discount or incentive, publish deceptive reviews, use malware or automated traffic, bid on Aident trademarks in paid search, register confusingly similar domains or social handles, or place referral links on unlawful, hateful, sexually explicit, or infringing content.
8. Aident brand
While your affiliate account is active, Aident grants you a limited, revocable, non-exclusive, non-transferable license to use program-provided brand assets solely to promote Loadout under this Agreement. You may not alter the assets, imply endorsement of you or your content, or use Aident's marks in a business name, product name, domain, or account handle.
9. Monitoring and records
Aident may review promotions and traffic for compliance. You will reasonably cooperate with a compliance inquiry, correct or remove noncompliant content promptly, and retain records needed to support your disclosures and payment information. Aident may disregard traffic or transactions that it reasonably determines are invalid, duplicated, fraudulent, or generated in violation of this Agreement.
10. Suspension and termination
Either party may end participation at any time. Aident may immediately suspend or terminate an account for breach, fraud, legal risk, customer harm, or misuse of Aident's brand. Suspension or termination stops new attribution and commission as described by the account status. Valid commission earned before termination remains subject to reversals, holds, reserves, offsets, and compliance review.
11. Independent relationship
You are an independent contractor, not an employee, agent, franchisee, joint venturer, or legal representative of Aident. You have no authority to bind Aident, make commitments on its behalf, or incur expenses for it. You are responsible for your own business costs and activities.
12. Changes and contact
Aident may update this Agreement by publishing a new version and providing reasonable notice through the product or your account contact. Continued participation after the new effective date constitutes acceptance of the revised Agreement. The governing-law, dispute-resolution, liability, and general provisions of the Terms of Service also apply to this Agreement.
